Setting up an account on the Electronic Filing Depository (EFD) is the most efficient way to handle your Michigan filing and any other states where you might have investors.
As of 2026, the system has been migrated to a new platform (nasaaefd.org), so ensure you are using the updated URL.
Step 1: Registration
- Go to nasaaefd.org.
- Click the Register link at the top of the page.
- Select Filers & Issuers as your account type.
- Fill in your details (name, email, and a strong password).
- Verify your email: You will receive a validation code via email. You must enter this code on the site to activate your account.
Step 2: Set Up Your Filer Profile
Once logged in, you need to complete your profile before you can file anything:
- Navigate to Manage Your Filer Profile (usually found by clicking your name in the top right).
- Enter your company’s legal name, address, and contact information.
- Payment Setup: You will need to link a bank account for ACH payments. The system primarily uses ACH to pay state fees and the EFD system fee.
Step 3: Create the Filing (Form D)
You don’t “re-type” the whole Form D; the system pulls data from the SEC:
- Go to the Form D section and click Search.
- Enter your Accession Number (the unique number the SEC gave you when you filed your Form D on EDGAR).
- Once the system finds your offering, click the EFDID (the system-generated ID for your deal).
- Click Create Notice.
Step 4: Jurisdiction Selection & Payment
- Select Michigan: Check the box for Michigan (and any other states where you’ve sold securities).
- Confirm Fees: The system will calculate the total.
- Michigan State Fee: $100.
- EFD System Use Fee: $160 (This is a one-time fee per offering. Once paid, you won’t pay it again for amendments or renewals for this specific deal).
.
- Submit: Authorize the ACH payment and submit the filing.
Quick 2026 Checklist
- Timeline: Ensure this is done within 15 days of your first Michigan sale.
- Fees: Budget for a total of $260 for your first Michigan filing ($100 state + $160 system fee).
- Credentials: If you previously had an account on the old efdnasaa.org (pre-2025), your login credentials should still work on the new site.
Would you like me to check if Michigan has any specific “late fees” if you happen to miss that 15-day window?
