You can’t just download a PDF and email it to the SEC. Since September 2025, the SEC has moved to a new system called “EDGAR Next” which requires you to have a Login.gov account and multi-factor authentication.

​Here is exactly where to go and the three steps to get it done:

​1. Step One: Get Your “Keys” (Form ID)

​Before you can file Form D, you need a CIK (Central Index Key). If GonenCorp doesn’t have one:

  • Warning: You will need to have a document notarized digitally or physically to prove you are who you say you are. This can take 2–5 days to process, so do this now, not on the day your 15-day deadline expires.

​2. Step Two: The Online Filing Portal

​Once the SEC emails you your CIK and you set up your password (CCC), you go to the filing site:

  • Find the Form: In the top left menu, select “Make a Filing” and then choose “Form D”.

​3. Step Three: Use a “Worksheet” First

​The EDGAR system is notorious for “timing out” after 60 minutes of inactivity. If you get interrupted, you lose your work.

  • Pro-Tip: Download this Paper Version of Form D (PDF) first.
  • ​Fill it out on your computer as a draft. Once you have all the info (executive addresses, exact dollar amounts, and your EIN), copy-paste it into the live portal to finish in 10 minutes.

​Important Reminder for GonenCorp:

  • The 15-Day Clock: The countdown starts the moment an investor signs the “Subscription Agreement” or “SAFE,” even if the wire transfer hasn’t hit your bank account yet.
  • Pop-up Blockers: The SEC’s filing window is a pop-up. Disable your pop-up blocker before you log in, or the “File Form D” button will appear to do nothing.
